Terms of Service

1. Acceptance of Terms

By accessing or using Keeplas ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Keeplas ("we," "us," or "our").

We reserve the right to update these Terms at any time. Material changes will be communicated to you at least 14 days in advance via email or an in-app notice. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

2. Description of Service

Keeplas is a life continuity platform that enables users to securely store, organize, and transmit critical life information to designated trusted contacts. The Service includes, but is not limited to, the following features:

  • Vault: A zero-knowledge encrypted storage system for documents, credentials, notes, and other sensitive information.
  • Life Check: An automated system that periodically verifies your activity and, if unresponsive, initiates pre-configured delivery rules to your trusted contacts.
  • Conditional Delivery: A configuration tool that allows you to define what information is shared, with whom, and under what conditions.
  • Trusted Contacts: A system for designating and managing individuals who may receive your vault data or assist with social recovery.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

3. Account Registration

To use the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate and current.
  • Keep your 24-word recovery phrase and any encryption keys confidential and not share them with unauthorized individuals.
  • Immediately notify us of any unauthorized use of your account or any other security breach.
  • Accept responsibility for all activities that occur under your account.

You must be at least 16 years of age to create an account and use the Service.

4. Plans & Fees

Keeplas offers the following plans. There is no monthly or annual subscription:

  • Free: $0 forever. Includes a 100 MB vault, monthly Life Check, 1 trusted contact, and social recovery. No payment required.
  • Lifetime: A single one-time payment of $199. Includes 10 GB of storage, weekly Life Check, 5 trusted contacts, video and audio legacy messages, and priority support. There are no recurring charges.

No Recurring Billing: Lifetime is charged once and grants permanent access to its features. Because there is no subscription, nothing renews and there is nothing to cancel.

Refunds: We offer a 30-day money-back guarantee on the Lifetime plan. If you request a refund within 30 days of purchase, we will return your payment in full. The Free plan is free forever.

Price Changes: We may adjust the price of the Lifetime plan from time to time. Any change applies only to future purchases and never affects access already granted by a completed Lifetime purchase.

5. User Responsibilities

When using the Service, you agree to:

  • Lawful Use: Use the Service only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations.
  • No Harmful Content: Not use the Service to store or transmit any content that is illegal, threatening, abusive, defamatory, or otherwise objectionable. While we cannot inspect your encrypted vault contents, we reserve the right to terminate accounts that are determined to be used for illegal purposes.
  • No Interference: Not attempt to interfere with, disrupt, or compromise the integrity or security of the Service or its infrastructure.
  • No Reverse Engineering: Not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except where permitted by applicable law.
  • Backup Responsibility: Maintain your own backups of critical information. While we strive for high availability and data durability, Keeplas is not a substitute for a comprehensive backup strategy. You understand that data loss, while unlikely, is possible.

6. Intellectual Property

Except where a separate open-source license expressly applies to a repository, file, or component, the Service, including its hosted offering, design, features, documentation, logos, trademarks, and related materials, is owned by Keeplas and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

The public Keeplas code repository is made available under the GNU Affero General Public License v3, as set out in the LICENSE file. Where that open-source license applies, your rights to copy, modify, and distribute the licensed repository materials are governed by that license rather than this section.

If you submit code, documentation, designs, translations, or other materials for inclusion in the Keeplas codebase, we may require you to accept or sign a Contributor License Agreement (CLA). Unless otherwise agreed in writing, accepted contributions may be used, sublicensed, relicensed, commercialized, or transferred by Keeplas in accordance with the CLA.

You retain full ownership of all content you upload to your vault. By using the Service, you grant us a limited, non-exclusive license solely to store and transmit your encrypted content as necessary to provide the Service. Due to our zero-knowledge architecture, we cannot and do not claim any rights over the decrypted contents of your vault.

7. Zero-Knowledge Disclaimer

Keeplas employs a zero-knowledge encryption architecture. Your vault data is encrypted on your device before being transmitted to our servers. As a direct consequence:

  • You are solely responsible for the security and safekeeping of your 24-word recovery phrase and any encryption keys derived from it.
  • Keeplas cannot recover your data if you lose your 24-word recovery phrase and have not configured social recovery through trusted contacts.
  • Authentication is passwordless, so there is no password to reset. Signing back in restores access to your account, but your vault data remains inaccessible without your 24-word recovery phrase or a successful social recovery.
  • We strongly recommend setting up social recovery with multiple trusted contacts to mitigate the risk of permanent data loss.

You acknowledge and accept that this zero-knowledge design is a core feature of the Service, and that Keeplas bears no liability for data loss resulting from lost or forgotten encryption keys.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Keeplas does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.
  • In no event shall Keeplas, its directors, employees, partners, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.
  • Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us for the Service during the twelve (12) months preceding the event giving rise to the claim, or $100, whichever is greater.

9. Trusted Contacts & Social Recovery

The Service allows you to designate trusted contacts who may receive encrypted vault data under conditions you define, or who may participate in social recovery to help restore access to your account. By using these features, you acknowledge and agree to the following:

  • Consent: You are solely responsible for obtaining the consent of any individual you designate as a trusted contact. You must inform them of their role, what information they may receive, and under what conditions.
  • Accuracy: You are responsible for ensuring that the contact information provided for your trusted contacts is accurate and up to date.
  • Delivery: While we make reasonable efforts to deliver information to your trusted contacts according to your configured delivery rules, we cannot guarantee successful delivery due to factors beyond our control (e.g., invalid email addresses, spam filters, contact availability).
  • Liability: Keeplas is not liable for any consequences arising from the sharing of information with your trusted contacts as configured by you, including but not limited to disputes, misuse of information by recipients, or unintended disclosures.
  • Social Recovery: The social recovery process requires a threshold of trusted contacts to cooperate. Keeplas is not responsible if social recovery fails due to unresponsive contacts or misconfiguration.

10. Termination

By You: You may terminate your account at any time by navigating to your account settings and selecting the option to delete your account. Upon termination, your account information and encrypted vault data will be permanently deleted within 30 days. Any remaining subscription period will not be refunded.

By Keeplas: We may suspend or terminate your account at any time if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or if your account poses a security risk to the Service or other users. We will make reasonable efforts to notify you before or promptly after termination, unless doing so would compromise security or legal obligations.

Upon termination for any reason, your right to access and use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including but not limited to intellectual property, limitation of liability, and governing law) shall continue in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Keeplas is incorporated, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration body in our jurisdiction, unless you are located in a jurisdiction that grants you the right to bring claims in your local courts, in which case that right is preserved.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice within the Service at least 14 days before the changes take effect. Non-material changes (such as clarifications or formatting updates) may take effect immediately. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Service and delete your account.
